Purple Penguin – Terms and Conditions

Welcome to Purple Penguin Partner Intelligence. These Terms and Conditions (“Terms”) govern your access to and use of Purple Penguin’s products, services, assessments, and website (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree, do not use the Services.

1. Overview of Services

 

Purple Penguin provides:

  • Digital assessments (including but not limited to Ecosystem and Partner Fit Assessments)

  • Subscription-based dashboards and analytics tools

  • Advisory insights and recommendations

  • Productized partner strategy tools and frameworks

 

All Services are designed to provide insight, analysis, and guidance, not guaranteed business outcomes.

2. Intellectual Property Rights

 

Everything you touch here? It’s ours.

 

All content, products, frameworks, methodologies, scoring models, dashboards, assessments, text, graphics, branding, and underlying logic are the exclusive property of Purple Penguin, unless otherwise stated.

 

This includes but is not limited to:

  • The Activation Indexes and all derivative scoring systems

  • Assessment structures, questions, and scoring logic

  • Reports, recommendations, and outputs

  • Website content and branding

 

You may not:

  • Copy, reproduce, or distribute any part of the Services

  • Reverse engineer or replicate assessment logic or scoring models

  • Use Purple Penguin materials to build competing offerings

 

Without prior written consent, all rights remain fully reserved.

3. License to Use Services

 

When you purchase or access a Purple Penguin product or service, you are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes only.

You may not:

  • Resell or sublicense the Services

  • Share access beyond your organization without permission

  • Use outputs to create derivative commercial products

4. Payments and Refunds

​

  • All fees are due at the time of purchase unless otherwise stated

  • Payments may be processed via third-party providers (e.g., Stripe)

  • Certain offerings may include conditional refund policies (e.g., credit toward future services)

Unless explicitly stated, all purchases are non-refundable.

5. No Guarantees or Warranties

 

Purple Penguin does not guarantee:

  • Revenue outcomes

  • Partnership success

  • Hyperscaler or other partner type engagement or co-sell activation

  • Specific business results

 

The Services are provided “As is” and “as available.”

We provide insight. Execution, alignment, and outcomes remain your responsibility.

6. Limitation of Liability

 

To the fullest extent permitted by law, Purple Penguin shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Lost revenue, profits, or business opportunities

  • Decisions made based on assessment results or recommendations

 

Your use of the Services is at your own risk.

7. User Responsibilities

 

You agree to:

  • Provide accurate and complete information

  • Use the Services in a lawful manner

  • Not misuse, manipulate, or attempt to game assessment results

 

If you try to outsmart the system, the system quietly ignores you.

8. Data and Privacy

  • Information submitted through assessments may be used to generate reports and insights

  • Purple Penguin may use aggregated, anonymized data to improve its products

  • We do not sell your confidential business data

9. Modifications to Services

 

Purple Penguin reserves the right to:

  • Update, modify, or discontinue any part of the Services

  • Change pricing or product structure

  • Enhance or evolve scoring models and methodologies

 

Think of the platform as alive—it gets sharper over time.

10. Termination

We reserve the right to suspend or terminate access if:

  • These Terms are violated

  • Services are misused

  • Payment obligations are not met

11. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.

12. Entire Agreement

These Terms constitute the entire agreement between you and Purple Penguin regarding use of the Services.
